4. Client Responsibilities
The client agrees to:

Provide necessary login credentials when required.

Maintain ownership of marketplace and website accounts.

Respond promptly to requests for information.

Ensure products comply with applicable laws and marketplace policies.
The client is solely responsible for the legality, authenticity, and intellectual property rights of the products they sell.
5. Payments

All prices are displayed in Indian Rupees (INR).

Payment must be completed before work begins unless agreed otherwise in writing.

Taxes (if applicable) will be charged separately.

Subscription or monthly management services are billed according to the selected plan.
Failure to make timely payments may result in suspension or termination of services.
6. Refunds
Refunds are governed by our Refund & Cancellation Policy.
Once work has commenced, fees for completed work are generally non-refundable unless otherwise stated.
7. Third-Party Platforms
Our services may involve platforms such as Shopify, Amazon, Flipkart, Meesho, Google, Meta, and other marketplaces.

These platforms operate independently under their own terms and policies.
8. Advertising Services
For advertising services:

We manage campaigns based on industry best practices.

We do not guarantee sales, revenue, rankings, leads, profits, or return on ad spend (ROAS).

Campaign performance depends on factors including product quality, pricing, competition, website quality, customer demand, and advertising budget.
9. Intellectual Property
All website content, graphics, branding, logos, designs, documents, and original materials created by E-commercewala remain our intellectual property unless otherwise agreed in writing.
Clients retain ownership of their trademarks, logos, product content, and business information.
10. Confidentiality
We treat client business information confidentially and will not disclose it except:

11. Limitation of Liability
To the maximum extent permitted by law, E-commercewala shall not be liable for:

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
12. Account Access
Where necessary, clients may provide temporary access to their seller accounts, Shopify store, advertising accounts, or related platforms.
Clients are responsible for:

Maintaining secure passwords,

Revoking access when services end,

Reviewing account activities.
13. Service Suspension or Termination
We reserve the right to suspend or terminate services if:

Payments are overdue,

The client provides false information,
-
The client requests unlawful or prohibited activities,

The client violates these Terms.
14. Force Majeure
We shall not be liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, internet outages, government actions, strikes, cyberattacks, or failures of third-party platforms.
15. Privacy
Your use of our services is also governed by our Privacy Policy.
16. Changes to These Terms

17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
